Annex B

Refund Policy

Version 1.0, effective October 26, 2026

Studio Signal bills for scheduled work and reserved capacity, not for outcomes. This policy applies to all Services and forms part of the Agreement.

In this Annex, "we" and "us" mean Studio Signal, "you" means the Client, "your agreement" means the Agreement and the applicable Schedule, and capitalized terms have the meanings given in the Agreement. If this Annex conflicts with the Agreement or a Schedule, the Agreement or Schedule prevails.

B.1 One-time implementation fees

Sprints and audits (GBP Sprint, Funder-Readiness Snapshot, Compliance Sprint, and similar one-time engagements):

  • Full refund if you cancel in writing before work begins.
  • No refund once work has begun. Work begins when we first act on your account or content, not when you first hear from us.
  • Where a Schedule states its own cancellation terms, those terms apply instead.

Setup and build fees (for ongoing plans):

  • Unless your Schedule says otherwise, fifty percent (50%) is due on signature and the balance on acceptance of the Deliverable.
  • The signature instalment is not refundable once we have begun work.
  • The balance is not refundable once the Deliverable has been accepted or deemed accepted.

Credited sprints: if you complete a sprint and convert to an ongoing plan within sixty (60) days, the full sprint fee is credited toward your setup fee.

B.2 Ongoing plans

Monthly retainers:

  • Billed in advance by pre-authorized payment.
  • Cancel with thirty (30) days' written notice. Cancellation stops future billing; there are no partial-month refunds for time already billed.
  • If you cancel during your Initial Term, the Commitment Credit becomes repayable in proportion to the months remaining, as set out in Section 3.4 of the Agreement.

Annual plans (maintenance, stewardship or hosting):

  • Billed on each anniversary. We send you notice of the upcoming charge at least forty-five (45) days beforehand.
  • You may cancel at any time with thirty (30) days' written notice. To avoid renewal, give that notice at least thirty (30) days before the anniversary.
  • No pro rata refunds within a billing year, except in the cases listed in B.3.

Maintenance-only plans: same terms as above. Included coverage is defined in your agreement; work outside it is quoted separately and only billed with your approval.

B.3 When we refund you

We refund prepaid fees for the unexpired period, pro rata, if:

  • we end your plan for our own convenience;
  • you end your plan because of our uncured material breach (Section 19.1 of the Agreement);
  • we end your plan under Section 19.2 because continuing would require us to breach the law or a platform's terms;
  • you cancel because of a change you did not accept, where the Agreement gives you that right;
  • your plan ends because of the principal's incapacity or death, or a force majeure event lasting more than thirty (30) consecutive days.

In those cases no early-termination amount is payable by you.

B.4 What we will always do

  • Quote before billing anything not already covered by your agreement.
  • Cancel pre-authorized billing immediately on the effective cancellation date.
  • Send you notice at least forty-five (45) days before any annual renewal charge.
  • Never bill for a period in which we failed to deliver the Services, except suspension for non-payment under Section 4.7 of the Agreement.

B.5 Disputes

Contact us before disputing a charge. Billing questions are resolved faster than chargebacks; we will always provide the invoice, agreement, and approval trail for any charge in question.
